REPORTING RELATIONSHIPS:
The legal counsel 3M Asia COE will report to the SEA Region General Counsel, and will have a dotted line reporting relationship to the Asia COE Director. The position will manage legal matters arising out of the Supply Chain Center of Expertise, the management of which being centralized and located in Singapore. The position will be located in Singapore.
BASIC FUNCTION:
The legal counsel 3M Asia COE will be responsible for representing the legal function for the Asia COE Organization management based in Singapore, with a strong need to cooperate and interact in close relationship with internal and external counsel working for 3M subsidiaries in Asia. The legal counsel 3M Asia COE will provide advice and guidance on a wide variety of legal matters for the COE Organization and will expand legal services across a range of business environments for Asia. The position will function as a member of and primary counsel to 3M Asia COE’s management team. Specific accountabilities and responsibilities include:
Actively participating in the resolution of a wide range of general management issues as a member of 3M Asia COE’s senior management team, including policy formulation, Standard Operating Procedures creation, management of critical supply relationship with third party vendors, prioritization and achievement of global, area and local corporate strategies.
Providing counsel and legal advice on a broad spectrum of corporate matters, including mostly transactions, but also financing and other strategic and business development activities. 3M Legal Affairs provides M&A counsel through a matrix of a global team based in St. Paul and the Legal Counsel for Asia COE will be closely involved with integration activities for any acquisitions in the Asia Region with respect to manufacturing and warehousing locations.
Managing litigation and disputes at multiple levels of significance or complexity. Formulating and implementing litigation strategy for matters that may include strategies for multiple, related matters. Managing multiple activities and budgets of outside law firms. Recommending resolution/settlement path to senior management that includes matters that cross business lines. Communicating on a regular basis with the pertinent Area Leader and US teams, and coordinating litigation efforts on significant matters with the Litigation specialists based in Saint Paul.
Advising on a wide variety of commercial matters, including contracts, licensing, manufacturing related issues, competition/distribution, employment/ labor, real estate, product liability, EHS, compliance and regulatory matters.
With the help of subject-matter experts in the company, advising on critical and sensitive legal issues relating to 3M’s global supply chain, including international business transactions, labor law, real estate, data privacy, compliance with anti-corruption laws (e.g., UKBA and FCPA) and trade compliance.
Managing, developing and preparing, justifying and managing the 3M Asia COE legal budget.
Developing, implementing and managing a strategic plan for providing corporate legal services in accordance with legal and corporate requirements (e.g., standardized and operational process and policy implementation, productivity gains) and in support of 3M Asia COE priority business objectives. Ensuring that the available legal services be successful in supporting the 3M Asia COE’s ongoing operations.
Working closely with 3M’s Chief Compliance Officer and his staff to direct and implement programs, policies and practices to ensure 3M Asia COE operates in compliance with 3M and 3M Asia COE policy and the law. Actively championing the Company’s long-standing commitment to compliance and operating with high ethical standards.
Keeping the Asia COE Director and the Area Legal managers, as well as the Associate General Counsel – International (located in St. Paul) advised of significant decisions, legislation and regulatory rulings that may affect business or policy in the Asia Region with respect to Supply chain matters.
Developing a thorough understanding of and familiarity with 3M Asia COE’s business, its people, facilities, clients, supplier and corporate goals in order to identify trends and formulate appropriate structures and strategies.
Establishing a rapport and working relationship with 3M management teams across Asia COE and at all levels of the organization to encourage and continue the proactive use of and collaboration with in-house legal counsel. Influencing the 3M matrix to reach that goal.
Leading and facilitating clear communications and coordination between 3M Asia COE and the SEA and Asia Regions, in addition to global division and staff operations in the Company’s headquarters. Ensuring alignment of activities and issues between 3M Asia COE and Asia region. Actively participating to, supporting and leading Legal Affairs initiatives. Regularly sharing best practices, new challenges or developments, innovations and efficiency related projects.
Managing 3M Asia COE’s corporate secretarial role, protecting the directors and shareholders of that legal entity in connection with the broader protective role of 3M’s assets and reputation around the globe.
EXPERIENCE:
The successful candidate will have experience working as an in-house counsel, ideally in a US group of companies, as well as a minimum of ten years of progressively responsible and wide-ranging legal experience focused on international corporate, commercial and transactional matters with a mid-to-large size multinational corporate law department. A strong track record of demonstrated performance and leadership is a prerequisite. Experience managing complex legal projects and matters in Singapore is a prerequisite. The ideal candidate will have a demonstrated track record of working efficiently, as a true business partner, with non-legal clients, especially with sourcing and manufacturing organizations, whether on projects or on an ongoing basis, with some experience in Asia-wide supply chain projects. Demonstrated success at developing and implementing strategic and operational legal solutions to supply chain problems is essential.
CANDIDATES SHOULD HAVE:
Unquestioned integrity and ethics in business and personal conduct.
Qualified to work as a lawyer in Singapore and detailed knowledge of Singapore law and regulations relating to manufacturing, corporate governance, commercial transactions, labor law and environmental, health and safety. A working knowledge of Singapore tax laws would be a plus.
A keen understanding of the Singapore’s business and commerce and the ability to diagnose legal problems, and present positive, creative solutions and alternatives for management, operating with a demonstrated client service orientation.
Highly effective written and oral communication skills.
Highly effective negotiation and transactional skills. Specific experience in vendor procurement laws, transactions and processes is preferred.
Demonstrated leadership and organizational abilities. The desire, aptitude and sensitivity to identify, develop and manage a legal organization in a newly created legal entity.
Maturity, stature and strong interpersonal skills; one whose counsel and judgment are actively sought.
A proven track record of working well with, and influencing members of senior management teams.
The ability to think like at a strategic level on part with 3M Asia COE executives and facilitate management objectives, yet the willingness and capability to be a very “hands-on” lawyer.
A proactive, energetic and enthusiastic approach to all tasks, great or small. Balanced self-confidence and personal humility.
Demonstrated ability to effectively manage costs and direct the activities of outside counsel across the region.
An appetite to teach others and to learn from others, to share experience and seek help when needed.
